A Company Secretary is a professional who plays the role of a mediator between the company, its board of directors, stakeholders, government and its regulatory authorities. A CS is the advisor in corporate, legislative and compliance matters. In most established companies, the CS serves as a focal point between the BOD, senior management and the company's shareholders.

As per the Companies Act, 1956, every company with a paid-up share capital of Rs. ten crores or above has to appoint a whole time Company Secretary certified by ICSI. 

The role of a Company Secretary is important to an organization or business house, since he is competent to provide sound advice on corporate, legal, secretarial, administrative and even tax related matters. While a Company Secretary can aspire to get employment opportunities in government accounts or law departments, he can become a Chairman or Managing Director of a Company or be a part of the esteemed Board of Directors of a Company.

There are three levels of the course for ICSI. The course structure of each of these is as follows

1) Foundation Course:

2) Intermediate Course

  • Economic, Labor & Industrial Laws
  • Securities Laws & Regulation of Financial Markets

3) Final Course

  • Advanced Company Law and Practice
  • Secretarial Practice relating to Economic Laws and Drafting & Conveyancing
  • Secretarial, Management and Systems Audit
  • Financial, Treasury and Forex Management
  • Corporate Restructuring – Law and Practice
  • Banking & Insurance - Law and Practice
  • WTO – International Trade, Joint Ventures and Foreign Collaborations
  • Direct and Indirect Taxation - Law and Practice

Every student has to undergo training for 15 months with a CS in practice or a company registered for imparting training and further training in a specialized agency such as office of the ROC, Stock exchange, etc.

Course Fee

The fees for pursuing Company Secretary course from ICSI or any other institution is Rs.7,500

Application process

The minimum eligibility required for registering for the the foundation course of  Company Secretary is 10+2 or an equivalent examination.

Graduates or post-graduates in commerce, or any other discipline except fine arts, are allowed to skip the foundation course and enrolled directly for the intermediate examination. This exemption is also extended to those who have passed out of the Institute of Cost and Works Accountancy or the Institute of Chartered Accountants of India.
